These Terms of Service ("Terms") govern your use of the WeaveMetric Studio app, the website kelwerk.com and related services (together, the Service). The Service is provided by Hemant Kumar Singh, a sole proprietor trading as "Kelwerk" ("Kelwerk", "we", "us"), New Delhi, India.
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service for a company, you confirm that you are authorised to accept these Terms for it. This document is an electronic record under the Information Technology Act, 2000 and does not need a physical or digital signature.
1. Who can use the Service
You must be at least 18 years old and able to enter into a binding contract under Indian law. The Service is intended for business and professional use.
2. The Service
WeaveMetric Studio measures fabric properties, such as thread density (EPI/PPI), yarn count and GSM, from photos. Photos are processed on our servers; results are returned to the app and stored on your phone. The Service needs an internet connection.
We may improve, change or withdraw features, including counting methods. We will not remove a core feature you have paid for during a paid period without telling you in advance. Features marked as beta or experimental may be incomplete or inaccurate, are provided as they are, and may be changed or withdrawn at any time.
3. Your account
- Give accurate information and keep your sign-in details secure. You are responsible for what happens under your account.
- An account is for one person. Do not share your login. Your plan may limit how many devices can be signed in at the same time and how many photos can be analysed per day, week or month; these limits are shown in the app.
- Tell us straight away at support@kelwerk.com if you think your account has been compromised.
4. Free trials
- A new account gets a free trial, which starts with your first measurement.
- After the trial ends, you may request one extra trial from the app. Extra trials are granted at our discretion.
- Trial lengths are shown in the app and may change for new users.
- Free trials are limited to one per person and per device. Using new accounts, devices or other means to obtain further free trials is not allowed and may lead to suspension.
5. Subscriptions through Google Play
- Subscriptions bought in the app are billed by Google Play and renew automatically until you cancel them in Google Play. You keep access until the end of the period you have paid for.
- Prices and applicable taxes are shown in Google Play before you buy. We will give advance notice of price changes as Google Play requires.
- Refunds follow Google Play's refund policies. You can also contact us.
- When a subscription starts, any remaining free-trial days or promotional benefits end.
6. Promotional codes
We may issue promotional codes that give extra trial days or free access for a set number of days. A code may be personal to your account or open to all users, and may expire. Codes cannot be combined, cannot be used while a subscription or company plan is active, and have no cash value. We may cancel benefits obtained through misuse.
7. Company plans (purchase codes)
- Company plans are agreed directly with us, priced by written quotation and paid as set out in our invoice, with GST as applicable.
- A purchase code gives one account access to the Service for the agreed period, with the agreed device and usage limits. It starts when it is redeemed, unless we agree a different start date, and it cannot be transferred.
- If you have an active Google Play subscription, cancel its renewal before redeeming a purchase code. The remaining subscription days are not carried over.
- While a company plan is active, subscriptions and promotional codes are not available.
- Fees for company plans are not refundable once the code is redeemed, unless the quotation says otherwise or the law requires it.
8. Acceptable use
You must not:
- copy, modify, decompile, reverse engineer or try to extract the app's code, our methods or our server software, except where the law expressly allows it;
- get around security checks, device or usage limits, or trial rules;
- access the Service by automated means, or use it to build a competing product;
- share, resell or sublicense access to the Service;
- upload content that is unlawful or that you do not have the right to use;
- interfere with the Service or other users.
9. Your content
You own the photos you upload and the results you obtain. You give us a limited permission to process your photos only to produce your results; we delete them as described in our Privacy Policy. If you send us feedback or suggestions, we may use them without obligation to you.
10. Our intellectual property
The app, our methods and algorithms, the website and the names and logos "Kelwerk" and "WeaveMetric Studio" belong to us. We grant you a limited, non-exclusive, non-transferable and revocable licence to use the app for its intended purpose while these Terms apply.
11. Measurement results
Results are estimates produced by computer vision. Their accuracy depends on calibration, photo quality, the fabric and, for GSM, the accuracy of your weighing balance. The Service is not a certified laboratory test and does not replace standard test methods where these are required. You are responsible for checking results before relying on them, especially for commercial or contractual decisions; each result is marked on the photo so you can review it.
12. Availability
We aim to keep the Service available but cannot guarantee that it will be uninterrupted or error-free. We may pause it for maintenance, updates or security reasons.
13. Disclaimer
To the extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose.
14. Limitation of liability
To the extent the law allows, we are not liable for indirect or consequential losses, or for loss of profit, business, goodwill or data. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us for the Service in the 3 months before the event that caused the claim, or ₹1,000. Nothing in these Terms limits liability that cannot be limited under applicable law, including your rights as a consumer.
15. Indemnity
You will compensate us for losses and costs arising from your breach of these Terms or your unlawful use of the Service.
16. Suspension and termination
You can stop using the Service and delete your account at any time (see Delete your account). We may suspend or close an account that breaches these Terms, misuses trials or codes, or puts the Service or other users at risk; where reasonable, we will tell you first and give you a chance to fix the problem. Sections 9 to 15 and 18 continue to apply after termination.
17. Changes to these Terms
We may update these Terms. If the changes are significant, we will tell you in the app or by email before they take effect. If you keep using the Service afterwards, you accept the updated Terms.
18. Governing law and disputes
These Terms are governed by the laws of India. The courts at New Delhi have exclusive jurisdiction, subject to any rights you have under consumer protection law.
19. General
- These Terms, the Privacy Policy and, for company plans, our written quotation make up the whole agreement between you and us.
- If any part is found unenforceable, the rest remains in force. If we do not enforce a right, we have not waived it.
- We may transfer our rights and obligations to a company that we set up or that takes over the Service. You may not transfer yours without our written consent.
- We are not responsible for delays or failures caused by events beyond our reasonable control.
